The Subcontractor: Collaboration Framework
A subcontractor is an independent provider to whom the non-profit Cœur Historique entrusts a specific task, carried out according to its instructions, in the province of Liège. Unlike an agent, they have no commercial role: they execute, they do not decide.
1. Status and positioning of the subcontractor
The subcontractor carries out their activity independently, with no relationship of subordination with the association, but carries out each task in accordance with the instructions, specifications, deadlines and quality standards set by Cœur Historique.
They have no decision-making power over strategy, price or the terms applied to the end beneficiary: these matters are the sole responsibility of the association.
2. Role and responsibilities of the subcontractor
The subcontractor undertakes the following tasks as part of their collaboration with the association:
- Carry out the task as defined: specifications, deadlines, agreed quality standards;
- Report to the association any request received directly from a beneficiary;
- Never use a third party to carry out all or part of the task without prior agreement.
3. Discretion and no direct contact with beneficiaries
The subcontractor is prohibited from sharing their personal or professional contact details to the end beneficiary, unless the association has given prior written agreement. All communication is carried out exclusively under the name and channels of Cœur Historique.
They never present themselves as the direct contact, representative or partner of the beneficiary, and may not, either during or after the collaboration, solicit or take over for their own benefit a relationship arising from this task.
4. Payment tied to execution, not results
The subcontractor is paid for the work carried out — a flat fee or daily rate — and not for the result generated for the beneficiary. This is the fundamental difference with an agent: they are paid for what they do, not for what they bring in.
5. What the agreement signed with each subcontractor specifies
This general framework sets out the philosophy and responsibilities of the collaboration. Each subcontractor is then offered a specific agreement, signed separately, which specifies:
- The applicable rate (flat fee or daily/hourly rate);
- The exact scope of each task entrusted;
- The consequences provided for in the event of a breach of discretion or the poaching of a beneficiary;
- The duration of the collaboration and the conditions for ending it.
6. Applicable law and competent jurisdiction
Any subcontracting agreement concluded with the non-profit Cœur Historique is governed exclusively by Belgian law. In the event of a dispute regarding its interpretation or execution, and failing an amicable resolution, only the courts of the judicial district of Liège shall have jurisdiction.
